1. Agreement to Terms

By accessing or using ContextFS ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ContextFS provides a memory management system for AI assistants, including local storage, semantic search, and optional cloud synchronization. The Service includes both free and paid subscription tiers.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated systems to excessively access the Service
• Store or transmit malicious code through the Service
• Violate any applicable laws or regulations

5. Your Data

You retain ownership of all data you store through ContextFS. By using the Service, you grant us a limited license to process your data solely to provide the Service.

You are responsible for the content you store and ensuring you have the right to use and store such content.

6. Subscriptions and Payment

Paid subscriptions are billed in advance on a monthly basis. You agree to pay all fees associated with your subscription tier.

• Prices may change with 30 days notice
• Refunds are provided on a case-by-case basis
• Free trials convert to paid subscriptions unless cancelled
• You can cancel at any time through your dashboard

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. Local features will continue to work offline.

8. Intellectual Property

The Service, including its design, features, and documentation, is protected by copyright and other intellectual property laws. The open-source components are subject to their respective licenses.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXTFS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time through your dashboard settings.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.
